These Terms and Conditions ("Legal Terms") constitute a legally binding agreement between you and The Athena Margaux Sanctuary Inc ("Company," "we," "us," "our") — a 501(c)(3) nonprofit organization (EIN: 39-3148992) — concerning your access to and use of our Services. Our website is hosted in the United States.

We reserve the right to make changes to these Legal Terms at any time. We will alert you about changes by updating the "Last updated" date, and by sending an email notification to subscribed users. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

1. OUR SERVICES

The Athena Margaux Sanctuary Inc is a 501(c)(3) nonprofit organization dedicated to providing emotional, spiritual, and financial support to mothers and families who have experienced the loss of a baby. Our programs include grief support boxes, counseling resources, monthly healing circles, first-year angelversary tributes, memorial wall and candlelight ceremonies, free grief journals, hospital support, financial assistance, legacy and healing projects, volunteer opportunities, advocacy, and an annual day of remembrance.

We also operate an online merchandise shop at athenamargauxsanctuary.org/merchandise/ where 100% of proceeds go directly to supporting grieving families through our programs. Merchandise is intended for personal use only and is available to users aged 18 and older.

The information provided through our Services is not intended for distribution or use in any jurisdiction where such distribution or use would be contrary to law or regulation.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, the Athena Margaux Sanctuary name, logo, and branding (collectively, the "Content" and "Marks").

Our Content and Marks are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for your personal, non-commercial use.

No part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, transmitted, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission. Sharing our content for awareness purposes with proper attribution to The Athena Margaux Sanctuary is encouraged.

Your Submissions

By sending us any question, comment, suggestion, idea, feedback, or other information about our Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. • Make improper use of our support services or submit false reports of abuse
• Use the Services in a manner inconsistent with any applicable laws or regulations
• Upload or transmit viruses, Trojan horses, spam, or other disruptive material
• Attempt to impersonate another user, person, or organization
• Interfere with or create an undue burden on the Services or connected networks
• Use the Services to compete with us or for any unauthorized commercial purpose
• Copy, decompile, or reverse engineer any software comprising the Services
• Exploit the Services or its users in any way that could harm grieving families or misrepresent our mission

5. USER GENERATED CONTRIBUTIONS

We may provide you with the opportunity to submit content including testimonials, comments, photos, stories, and other materials ("Contributions"). Contributions may be viewable on our website or through third-party platforms such as social media.

When you make a Contribution, you represent and warrant that:

• The Contribution is original to you or you have the right to submit it
• The Contribution does not violate the privacy, intellectual property, or other rights of any third party
• The Contribution does not contain false, misleading, harmful, or offensive content
• You have obtained the written consent of any identifiable person featured in the Contribution

We handle all Contributions from grieving families with the utmost sensitivity. We will never publicly identify families by name or share personal grief details without explicit written consent. You may request removal of your Contribution at any time.

6. CONTRIBUTION LICENSE

By submitting a Contribution, you grant The Athena Margaux Sanctuary a non-exclusive, royalty-free, perpetual license to use, display, reproduce, and share that Contribution for organizational and promotional purposes, including on our website, social media channels, and marketing materials.

You retain full ownership of your Contributions and any intellectual property rights associated with them. We are not liable for any statements or representations in your Contributions. You are solely responsible for your Contributions and agree to hold us harmless from any claims arising from them.

7. MERCHANDISE PURCHASES

Our online shop offers physical merchandise including crewneck sweatshirts, mugs, t-shirts, tote bags, and tumblers. All purchases directly support our nonprofit programs. Merchandise is available for personal use only and is sold to users aged 18 and older.

Order Acceptance

Placing an order does not constitute a binding contract until we confirm your order via email. We reserve the right to refuse or cancel any order at our discretion, including for pricing errors, product unavailability, or suspected fraud. If your order is cancelled after payment, you will receive a full refund.

Product Descriptions & Pricing

We make every effort to accurately display our products. However, we cannot guarantee that your device's display accurately reflects actual colors or dimensions. All prices are in US dollars and are subject to change without notice. Sales tax may be applied where required by law.

Shipping

We ship within the United States. Shipping costs and estimated delivery times are displayed at checkout. We are not responsible for delays caused by carriers, weather, or circumstances outside our control. Tracking information will be provided where available.

8. PAYMENT

We accept the following payment methods: Visa, Mastercard, American Express, Discover, and PayPal. All payments are processed in US dollars. By submitting a payment, you represent that you are authorized to use the payment method provided. All transactions are encrypted and processed securely through WooCommerce and PayPal. We do not store your full payment card details on our servers.

9. RETURNS & REFUNDS

Returns are accepted within seven (7) days of the purchase date for items in new, unused condition with all original tags, labels, and packaging. Please review our full Refund & Returns Policy for complete details.

10. DONATIONS

The Athena Margaux Sanctuary Inc is a federally recognized 501(c)(3) nonprofit organization (EIN: 39-3148992). Donations may be tax-deductible to the extent permitted by law. We recommend consulting a tax advisor regarding your specific situation.

Donations are processed securely through PayPal and Classy. By donating, you confirm that the funds are yours to give and are not proceeds of any unlawful activity. Donors may request anonymity at any time. We do not sell, trade, or share donor information with third parties.

Donation Refunds: Donations are generally non-refundable. If a donation was made in error, contact us within 7 days at admin@athenamargauxsanctuary.org and we will review your request on a case-by-case basis.

11. PROGRAMS & SERVICES

Our grief support programs — including grief boxes, counseling resources, financial assistance, and event participation — are provided free of charge to qualifying families. Availability is subject to capacity, funding, and eligibility. We reserve the right to modify, suspend, or discontinue any program at any time without notice.

12. THIRD-PARTY WEBSITES & EMBEDDED CONTENT

Our Site may contain links to and embedded content from third-party websites including YouTube, TikTok, PayPal, Classy, and partner organizations. These third-party sites have their own privacy policies and terms of use, which we encourage you to review. We are not responsible for the content, accuracy, or practices of any third-party site, and links do not imply our endorsement.

13. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates the law or these Terms; restrict access to, limit availability of, or disable any Contributions or content; remove files or content that are excessive in size or burdensome to our systems; and otherwise manage the Services in a manner designed to protect our rights and facilitate proper functioning.

14. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, including breach of these Legal Terms or applicable law, without notice or liability. If we terminate your access, you are prohibited from re-registering under any name. We reserve the right to take appropriate legal action, including civil, criminal, and injunctive redress.

15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove content from the Services at any time without notice. We cannot guarantee the Services will be available at all times. We may experience maintenance, hardware, or software issues resulting in interruptions or errors. We have no liability for any loss or inconvenience caused by your inability to access the Services during any downtime.

16. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States. You and The Athena Margaux Sanctuary irrevocably consent that the courts of New Jersey shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

17. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If informal negotiations fail, any dispute arising out of or in connection with these Legal Terms shall be referred to and finally resolved by binding arbitration in the State of New Jersey, United States. Arbitration shall be conducted on an individual basis — no class actions or representative proceedings are permitted. We agree to pay arbitration fees if they are deemed excessive.

Exceptions

The following disputes are not subject to arbitration: any dispute seeking to enforce or protect intellectual property rights; any dispute related to allegations of theft, piracy, or unauthorized use; and any claim for injunctive relief. Such disputes shall be decided by a court of competent jurisdiction in New Jersey.

Litigation

If a dispute proceeds in court rather than arbitration, it shall take place in the State of New Jersey.

18. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any errors and update information at any time without prior notice.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT. WE WILL NOT BE LIABLE FOR ANY ERRORS, PERSONAL INJURY, UNAUTHORIZED ACCESS TO OUR SERVERS, INTERRUPTIONS, BUGS, OR OTHER ISSUES ARISING FROM YOUR USE OF THE SERVICES OR FROM THIRD-PARTY CONTENT OR PRODUCTS.

20. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, VOLUNTEERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES — IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Athena Margaux Sanctuary Inc, its directors, officers, volunteers, agents, and partners from and against any loss, damage, liability, claim, or demand — including reasonable attorneys' fees — arising out of: your use of the Services; your breach of these Legal Terms; your breach of any representations or warranties; your violation of any third party's rights; or any harmful act toward other users of the Services.

22. USER DATA

We will maintain certain data you transmit to the Services for the purpose of managing performance and your use of the Services. Although we perform routine backups, you are solely responsible for all data you transmit. We shall have no liability for any loss or corruption of such data, and you waive any right of action against us arising from any such loss.

23. ELECTRONIC COMMUNICATIONS & SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, and records.

24. COPYRIGHT INFRINGEMENT

We respect the intellectual property rights of others. If you believe any content on our Site infringes your copyright, please notify us in writing at admin@athenamargauxsanctuary.org with the following information:

25. MISCELLANEOUS

These Legal Terms and any policies posted on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
